1. Acceptance of Terms

By accessing, browsing, or using the services provided on the web portal (hereinafter referred to as "the Portal") operated by NP's PROJECT MANAGEMENT AND TECHNOLOGY PRIVATE LIMITED ("the Company"), located at 203/204, LMS Finswell, Sakore Nagar, Viman Nagar, Pune – 411014, Maharashtra, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions. If you do not agree with or accept any part of these Terms and Conditions, you must immediately cease all use of the Portal.

2. User Eligibility and Account Registration

Age Requirement: By registering an account or using the Portal, you represent and warrant that you are at least 18 years of age and possess the legal capacity to form a binding contract under applicable laws.

Account Security: To access specific features, you may be required to register and create a user account. You are solely responsible for maintaining the strict confidentiality of your account credentials, including your password.

Liability for Account Activity: You accept full responsibility for any and all activities, transactions, or conduct that occur under your registered account. You agree to notify the Company immediately of any unauthorized use or security breach of your account.

3. Intellectual Property and Limited License

Ownership of Property: All content, software, architecture, source code, graphics, logos, text, images, audio, video, and materials available on the Portal are the exclusive property of the Company or its authorized licensors and are protected by copyright, trademark, and other applicable intellectual property laws.

Grant of License: The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal strictly for its intended commercial or professional operational purposes.

Prohibited Restrictions: You shall not copy, modify, distribute, reverse-engineer, decompile, scrape, data-mine, extract, or exploit any elements of the Portal or its underlying technology without explicit, prior written authorization from the Company.

Proprietary Scope: The software platforms, proprietary matching algorithms, data analytics models, custom reports, user experience dashboards, and external APIs deployed across the Workforce Portal are the exclusive intellectual property of the Company.

Copyright Protections: The entirety of the website designs, underlying source code, database architectures, graphics, customized images, corporate logos, and platform documentation are protected under international copyright treaties and the Indian Copyright Act, 1957. All rights are strictly reserved globally.

4. Acceptable Use and Security Enforcement

You are strictly prohibited from violating or attempting to violate the security of the Portal. Prohibited cyber activities include, but are not limited to:

  • Engaging in or launching Distributed Denial of Service (DDoS) attacks, SQL Injection (SQLi), brute-force credential cracking, or directory traversal exploits.
  • Uploading, transmitting, or distributing malware, trojans, ransomware, viruses, or corrupted file structures.
  • Utilizing automated systems, including bots, spiders, scrapers, or data-extraction tools, to harvest candidate profiles, professional details, source code, or proprietary data sets.
  • Engaging in credential sharing, unauthorized API abuse, or bypassing platform security access controls.

5. Fees, Subscriptions, and Labour Worker Protections

Billing Protocols: Access to specific premium tiers, management features, or corporate utilities on the Portal may require the purchase of subscriptions or in-app items. All transactions are processed securely through our designated in-app payment processing pathways.

Fraud Prevention and Indemnity: If any party requests financial compensation or payments outside the official app infrastructure claiming to represent the Company, please refuse and report the incident to our Grievance Officer immediately. The Company disclaims all legal and financial liability for losses incurred by users due to external, unauthorized third-party fraudulent schemes or payment scams.

6. Privacy Policy Integration

Your usage of the Portal is concurrently governed by our Privacy Policy, which outlines our protocols regarding data collection, granular consent frameworks, and user information processing. By utilizing the Portal, you consent to the handling of your data in strict compliance with that policy.

7. Disclaimer of Warranties

As-Is Provision:The Portal, including all services and operational tools provided therein, is delivered on an "as is" and "as available" basis without warranties of any kind, whether express, statutory, or implied.

No Guarantee of Flawlessness: The Company does not guarantee, represent, or warrant that the information, data, or operational materials found on the Portal are entirely accurate, reliable, complete, uninterrupted, or completely error-free. You assume all risks regarding the suitability of the platform for your operational goals.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NP's PROJECT MANAGEMENT AND TECHNOLOGY PRIVATE LIMITED, along with its affiliates, directors, officers, employees, or authorized agents, shall not be held liable for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages. This includes, but is not limited to, damages for loss of profits, data corruption, operational downtime, business interruption, or financial losses arising directly or indirectly out of your use, or inability to use, the Portal.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, and employees from and against any claims, liabilities, damages, losses, costs, or legal fees arising out of your violation of these Terms and Conditions, your misuse of the Portal, or your infringement upon the intellectual property or legal rights of any third party.

10. Suspension and Termination

The Company reserves the absolute right, in its sole discretion and without prior notice, to restrict, suspend, or permanently terminate your access to the Portal and its services if you breach these Terms and Conditions, engage in fraudulent activities, or violate applicable statutory laws.

11. Dispute Resolution, Infringement, & Security Disclosures

11.1. Dispute Resolution and Arbitration

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall attempt to resolve the matter amicably. If an amicable settlement cannot be reached within thirty (30) days, the dispute shall be referred to and finally resolved by binding arbitration in Pune, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

11.2. Copyright Infringement Claims (Takedown Policy)

If you believe that any content or material hosted on our platforms infringes upon your copyright rights, you may submit a formal infringement notice to our designated Grievance Officer. Your notice must contain:

  • a) your physical or electronic signature;
  • b) identification of the copyrighted work claimed to have been infringed; and
  • c) clear contact details.

The Company will investigate and execute swift data removal protocols for verified infringements.

11.3. Responsible Vulnerability Disclosure

The Company values the contributions of ethical security researchers. If you discover a potential security vulnerability or exploit within our web portal or applications, please report it privately and securely to contact@nppmt.com. We request that you provide a detailed proof-of-concept and allow our technical team a reasonable window to remediate the vulnerability before public disclosure. The Company pledges not to initiate legal action against researchers who discover and report vulnerabilities in good faith accordance with this safe harbor clause.

12. Governing Law and Exclusive Jurisdiction

Governing Law: These Terms and Conditions shall be governed by, interpreted, and construed exclusively in accordance with the substantive laws of India, without regard to conflict of law principles.

Exclusive Forum: Any legal dispute, controversy, claim, or litigation arising out of or relating to these Terms, the Portal, or your relationship with the Company shall be subject to the exclusive jurisdiction of the competent courts located in Pune, Maharashtra, India.

14. Modifications to Terms and Conditions

The Company reserves the right to modify, amend, or rewrite these Terms and Conditions at any time to accommodate regulatory updates or technological adaptations. It remains your sole responsibility to review these Terms periodically to stay informed of updates. Continued usage of the Portal following published modifications constitutes your legally binding acceptance of the updated terms.
